Rules on Remuneration of the Board and Executive Management and on Incentive Programmes

The Swedish Corporate Governance Board has issued Rules on Remuneration of the Board and Executive Management and on Incentive Programmes (“the Remuneration Rules”). The Remuneration Rules replace the previous self-regulation rules on remuneration to senior executives and on share and share price-related incentive programmes. The rules also contain certain provisions that supplement the rules in the Swedish Companies Act on remuneration guidelines and remuneration reports. The Remuneration Rules came into force on 1 January 2021.

Recommendation on private placements

The Swedish Corporate Governance Board has issued one recommendation on private placement of shares in companies whose shares are admitted to trading on a regulated market or which are traded on Nasdaq First North Growth Market, Nordic SME or Spotlight Stock Market.

The recommendation was issued on November 21, 2014 and was applicable from January 1, 2015.
